Terms of Service

These Terms of Service govern the use of the Promptare.ai website and the creative production services provided by Devid Giurlani, sole proprietor of Promptare.ai (VAT IT06318820484) (“Promptare”, “we”). By using the site or commissioning a service, you fully accept these terms.
1. Nature of the service
Promptare.ai is a creative production service that uses generative AI tools under human creative direction to produce content across the following areas: Video & Motion, Image & Social, Websites & Apps, 3D & Games, Audio & Voice, commissioned by private and business clients. Promptare.ai does not develop AI models, does not sell AI software, and does not distribute chatbots or autonomous agents.
2. How the service is delivered
Services are delivered on a project basis, according to a brief agreed with the client. The scope, delivery timeline, and cost of each project are defined case by case, before work begins, and formalized through written communication (email or a shared document).
3. Intellectual property of delivered content
Upon completion of the project and full payment of the agreed fee, ownership of the final content delivered to the client transfers entirely to the client. The client may use, modify, and distribute the delivered content without further authorization from Promptare, unless otherwise agreed in writing.
4. Material provided by the client
The client guarantees they have the right to use and provide Promptare with any material (images, logos, text, trademarks) needed to produce the commissioned content. Promptare is not liable for third-party rights infringements arising from material provided by the client.
5. Transparency on AI content
All content produced by Promptare.ai is created with the support of generative AI tools. In accordance with Article 50 of EU Regulation 2024/1689 (AI Act), concerning transparency obligations for AI-generated or manipulated content, the client is informed that the delivered content is AI-generated and agrees to comply with any transparency obligations under applicable law at the time the content is published or distributed.
6. Deepfakes and content depicting real people or places
Promptare creates new content, it does not falsify existing content. Two limits are never crossed:
No deepfakes. Promptare does not produce content that deceptively reproduces a real person, place, or event, making it appear authentic when it is not.
Written authorization required. If a project involves modifying or generating the likeness of a real, recognizable person or place, Promptare only does so with written permission from the rights holder. It is the client’s responsibility to provide such authorization when requested by Promptare.
7. Payments
Payment terms and timing are agreed for each project upon acceptance of the quote. Promptare reserves the right to suspend work in the event of non-payment under the agreed terms.
8. Revisions and changes
The number of revisions included in each project is defined at the time of agreement. Change requests outside the original brief may involve additional costs, to be agreed with the client in advance.
9. Limitation of liability
Promptare is committed to providing a professional and accurate service, but does not guarantee specific commercial results (e.g. increased sales, conversions, leads generated) from the use of the content produced. Promptare is not liable for indirect or consequential damages arising from the use of the delivered content.
10. Governing law
These Terms of Service are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the courts of the owner’s place of business, unless otherwise required by mandatory law.
11. Limited-time promotional offers
Promptare may, at its discretion and for limited periods, offer promotions that include a free demo content piece (photo or video) produced for the applicant’s business. These offers are communicated through the site (e.g. a time-limited banner) and do not constitute a recurring service, a subscription trial, or a contractual commitment.
Requesting free content does not create any obligation on the client to make a subsequent purchase, nor any obligation on Promptare to provide further content beyond the one covered by the promotion.
Promptare reserves the right to accept, decline, or limit requests received, at its sole discretion and without obligation to give reasons — for example where a request is not relevant to Promptare’s field of activity, comes from an existing client, or exceeds available production capacity during the offer period. Only one free content piece is available per business/applicant.
The offer is valid only for the time window shown at the moment it is displayed on the site and may be changed, suspended, or discontinued by Promptare at any time, without notice. In all other respects, content produced under this offer is subject to the same conditions that apply to commissioned projects (in particular Sections 3, 4, 5, and 6 of these Terms).
